Please read these Terms and Conditions (“Terms”) carefully before using the website itsupportbee.com (the “Site”) or engaging IT Support Bee (“IT Support Bee,” “we,” “us,” or “our”) for services. By accessing our Site or engaging our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use our Site or services.

1. About Us

IT Support Bee provides remote IT support services, including but not limited to Microsoft 365 administration, Google Workspace administration, cloud and email migration, email deliverability (SPF/DKIM/DMARC/DNS configuration), and general remote IT support to small and medium businesses.

2. Services

2.1 Scope of Services

The specific services provided to a Client will be as agreed in a separate proposal, statement of work, quote, or engagement made through a platform such as Upwork, or as otherwise confirmed in writing (collectively, the “Engagement”). These Terms apply in addition to, and alongside, any Engagement-specific terms.

2.2 Remote Delivery

Services are generally delivered remotely. Client is responsible for providing timely access to necessary systems, accounts, and personnel required to perform the services.

2.3 No Guarantee of Third-Party Platform Performance

Our services often involve third-party platforms (e.g., Microsoft 365, Google Workspace, domain registrars, hosting providers). We do not control and are not responsible for outages, policy changes, pricing changes, or service limitations imposed by these third parties.

3. Client Responsibilities

Client agrees to:

  • Provide accurate, current, and complete information necessary to perform the services
  • Grant timely and appropriate access to systems, accounts, and data required for the Engagement
  • Maintain appropriate backups of critical data prior to any migration, configuration change, or administrative work, unless backup is an explicitly contracted part of the Engagement
  • Ensure it has the legal right and authorization to grant us access to its systems, domains, and data
  • Designate an authorized point of contact for approvals and communications

4. Fees and Payment

  • Fees for services will be as set out in the applicable Engagement, quote, or platform (e.g., Upwork).
  • Unless otherwise agreed, invoices are due upon receipt or within the payment term specified in the Engagement.
  • Late payments may result in suspension of ongoing services until payment is received.
  • Client is responsible for any third-party costs (software licenses, subscriptions, domain fees, etc.) unless explicitly included in the Engagement.
  • All fees are exclusive of applicable taxes unless stated otherwise.

5. Cancellations and Refunds

  • Either party may cancel an ongoing Engagement with written notice, subject to any minimum notice period specified in the Engagement.
  • Fees for work already performed are non-refundable.
  • Refunds for undelivered or incomplete work, if any, will be assessed on a case-by-case basis at our discretion, unless otherwise required by law or platform policy (e.g., Upwork’s terms, where applicable).

6. Access to Systems and Data

  • Client grants IT Support Bee temporary access to relevant systems (e.g., Microsoft 365 admin center, Google Workspace admin console, DNS management, hosting panels) solely for the purpose of performing the agreed services.
  • We will use commercially reasonable care in handling any credentials or access provided, and will limit access to what is necessary for the Engagement.
  • Upon completion of the Engagement, access credentials will be returned, deleted, or revoked, unless ongoing support has been separately contracted.
  • Client remains the owner and controller of its own systems, accounts, and data at all times.

7. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or account information disclosed during the course of the Engagement, and to use such information solely for the purpose of fulfilling the Engagement. This obligation survives termination of the Engagement.

8. Intellectual Property

  • Any pre-existing tools, scripts, templates, or methodologies used by IT Support Bee in delivering services remain our property.
  • Configuration changes, documentation, or deliverables created specifically for the Client as part of a paid Engagement become the Client’s property upon full payment, unless otherwise agreed in writing.
  • Client retains all rights to its own data, content, and systems at all times.

9. Warranties and Disclaimers

  • We will perform services with reasonable skill, care, and in accordance with generally accepted industry standards.
  • Except as expressly stated, services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We do not warrant that services will be uninterrupted, error-free, or that all issues will be resolved, particularly where root causes lie with third-party platforms outside our control.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • IT Support Bee’s total liability arising out of or related to any Engagement shall not exceed the total fees paid by Client for the specific service giving rise to the claim in the preceding three (3) months.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, even if advised of the possibility of such damages.
  • Nothing in these Terms limits liability that cannot be excluded or limited under applicable law (e.g., liability for gross negligence, willful misconduct, or fraud).

11. Data Loss and Backups

Given the nature of migration, configuration, and administrative work, Client acknowledges the inherent risk of data loss or disruption. Unless data backup is an explicitly contracted service, Client is solely responsible for maintaining independent backups of critical data prior to engaging our services. We are not liable for data loss resulting from Client’s failure to maintain adequate backups.

12. Indemnification

Client agrees to indemnify and hold harmless IT Support Bee from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) Client’s breach of these Terms; (b) Client’s lack of authorization to grant access to systems or data; or (c) Client’s violation of applicable law.

13. Termination

  • Either party may terminate an Engagement in accordance with its notice provisions, or immediately in the event of a material breach that remains uncured for 10 business days after written notice.
  • Upon termination, Client shall pay for all services rendered up to the effective date of termination.
  • Sections relating to Confidentiality, Intellectual Property, Limitation of Liability, and Indemnification survive termination.

14. Third-Party Platforms (e.g., Upwork)

Where an Engagement is made or paid for through a third-party platform (such as Upwork), the platform’s own terms of service, dispute resolution processes, and payment protections may also apply and, in the event of conflict regarding payment or platform-specific matters, may take precedence over these Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with [insert governing law/jurisdiction], without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or an Engagement shall first be attempted to be resolved through good-faith negotiation, and if unresolved, through [insert preferred mechanism, e.g., arbitration or courts of a specified jurisdiction].

16. Website Use

If you use the Site without entering into a paid Engagement, you agree to use it only for lawful purposes and not to:

  • Attempt unauthorized access to our systems
  • Copy, reproduce, or distribute Site content without permission
  • Use the Site to transmit harmful code or engage in fraudulent activity

17. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised “Last Updated” date. Continued use of our Site or services after changes are posted constitutes acceptance of the updated Terms.
